Terms and Conditions
Effective Immediately Upon Notice
1. Definitions
1.1 “Simply Telecom”, “We”, “Us”, “Our” means Simply Mobile (NI) Ltd, trading as Simply Telecom.
1.2 “You”, “Your” means the customer purchasing services from Simply Telecom.
1.3 “Agreement” means these Terms & Conditions together with any Order or Contract Schedule agreed with You.
1.4 “Services” means telecommunications services supplied by Simply Telecom including mobile airtime, SIMs, broadband, VoIP/telephony, hardware, installation, maintenance, consultancy and support.
1.5 “Equipment” means any hardware supplied, loaned or installed by Simply Telecom.
1.6 “Third Party Provider” means any network operator, wholesale provider, or supplier involved in delivering the Services.
1.7 “Protected Individual” means any employee, subcontractor, consultant or representative of Simply Telecom.
2. Basis of Contract
2.1 By placing an order or using our Services, You agree to be bound by this Agreement.
2.2 No variation to these Terms shall have effect unless agreed in writing by Simply Telecom.
2.3 Any description of Services is for guidance only unless explicitly stated as binding.
3. Supply of Services
3.1 We will provide the Services using reasonable skill and care.
3.2 We do not guarantee uninterrupted or error-free Services.
3.3 We may modify the Services to comply with legal, regulatory or technical requirements.
3.4 You must provide accurate information, suitable access and cooperation for installation and support.
4. Equipment, Installation & Delivery
4.1 Equipment is deemed delivered when it arrives at Your business address.
4.2 Risk passes to You upon delivery, but ownership remains with Simply Telecom until paid in full.
4.3 You must insure Equipment under Your control against loss or damage.
4.4 Failure to accept delivery may result in storage or re-delivery fees.
4.5 Equipment installed by Simply Telecom must not be altered or relocated without written permission.
5. Charges & Payment
5.1 Charges are as detailed in Your order, contract schedule, proposal or invoice.
5.2 All recurring payments must be made via Direct Debit unless otherwise agreed.
5.3 If payment is late, Simply Telecom may:
• charge interest at 8% above the Bank of England base rate;
• suspend or terminate Services;
• apply administrative or reconnection fees.
5.4 You remain liable for all usage charges validly incurred on Your account.
6. Minimum Terms & Termination
6.1 Contracts run for the minimum term stated in Your agreement.
6.2 After the minimum term, contracts continue on a rolling 30-day basis unless otherwise agreed.
6.3 Early termination charges may apply.
6.4 Cease, migration or disconnection fees (typically £25–£50 per mobile number or VoIP license) may apply.
6.5 PAC issuance for larger business accounts may be subject to payment compliance.
7. Bill Limits, Usage Caps & Acceptable Use
7.1 You may request bill limits or usage caps; however, You remain responsible for all valid network charges.
7.2 Services must not be used for illegal, abusive or fraudulent purposes.
7.3 We may restrict or suspend Your Service if usage exceeds acceptable levels or breaches fair usage policies.
8. Suspension of Services
8.1 We may suspend Services immediately if:
• You fail to pay Charges;
• You breach this Agreement;
• there is suspected fraud, security risk or abuse;
• our network or supplier requires suspension.
8.2 Charges continue to accrue during suspension.
9. Liability Limitation
9.1 Simply Telecom’s total liability under this Agreement is limited to direct losses up to the amount You have paid in the previous 12 months.
9.2 We are not liable for:
• loss of profits, revenue, business or goodwill;
• indirect or consequential losses;
• loss caused by Third Party Providers.
9.3 Nothing in this Agreement limits liability for fraud or for death/serious injury caused by negligence.
10. Customer Responsibilities
10.1 You must ensure all provided information is accurate and kept up to date.
10.2 You are responsible for the security of devices and systems using the Services.
10.3 You must not tamper with or misuse the Services or Equipment.
10.4 You are responsible for all activity performed under Your account.
11. Intellectual Property
11.1 All intellectual property rights relating to the Services, systems, documentation and processes remain with Simply Telecom or its licensors.
11.2 You must not copy, modify, reverse-engineer or distribute any Simply Telecom intellectual property.
12. Confidentiality
12.1 Both parties shall keep confidential all non-public business, technical and financial information received from the other.
12.2 Confidentiality obligations survive termination.
13. Data Protection
13.1 We process personal data in accordance with UK GDPR and applicable law.
13.2 You consent to us sharing necessary data with Third Party Providers for service delivery, billing and support.
14. Non-Solicitation of Personnel
14.1 During the term of this Agreement and for 12 months thereafter, You must not, directly or indirectly:
• solicit, employ or engage any Protected Individual;
• induce or attempt to induce any Protected Individual to leave Simply Telecom;
• use or encourage a Protected Individual to provide competing services.
14.2 Breach of clause 14.1 requires You to pay Simply Telecom liquidated damages of £10,000 per Protected Individual, representing a genuine pre-estimate of the loss and disruption caused.
15. Non-Interference with Business Relationships
15.1 You must not interfere with Simply Telecom’s relationships with employees, subcontractors, suppliers or customers.
15.2 You must not attempt to bypass Simply Telecom to obtain services directly from individuals or suppliers engaged by Simply Telecom.
16. Changes to Terms
16.1 Simply Telecom may update these Terms at any time.
16.2 Updated Terms take effect immediately upon notice to You.
16.3 Continued use of the Services after notice constitutes acceptance of the updated Terms.
16.4 You may terminate Services if You do not accept updated Terms, subject to contractual obligations.
17. Number Porting (PAC Codes)
17.1 PAC codes are issued in accordance with Ofcom rules.
17.2 PAC issuance for larger business accounts may depend on payment of outstanding balances.
17.3 PAC codes remain valid for 30 days.
17.4 Charges continue to apply until the number is successfully ported away.
18. Notices
18.1 Notices from Simply Telecom may be delivered by email to the address held on record.
18.2 Notices from You must be sent to Simply Telecom’s registered email or postal address.
19. Governing Law
19.1 This Agreement is governed by the laws of Northern Ireland.
19.2 The courts of Northern Ireland shall have exclusive jurisdiction over any disputes.
Acceptance
By continuing to use Simply Telecom’s services, you confirm that you have read, understood, and agreed to these Terms and Conditions, including any updates made in accordance with Section 16.
